These Terms and Conditions (the “Terms”) govern your use of the Ontario Corporation Centre website (the “Site”), Ontario Corporation Centre, and all related materials (collectively, the “Ontario Corporation Centre Materials”). By accessing or using the Site, you agree to comply with and be bound by these Terms. If you do not agree, you are not authorized to access or use the Site.

Ontario Corporation Centre makes no warranties that the Site or Services will be error-free, uninterrupted, or free of harmful elements such as viruses or malware.
Restrictions
You agree to use the Site and Services solely as a customer. Ontario Corporation Centre is not liable for damages resulting from your use of or inability to use the Site. If dissatisfied, your exclusive remedy is to discontinue using the Site.

You agree to indemnify and hold harmless Ontario Corporation Centre, its officers, directors, and employees from all claims, damages, liabilities, costs, and expenses (including legal fees) arising out of your use of the Site or violation of these Terms.
Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Ontario, Canada. By using the Site, you consent to the exclusive jurisdiction of the provincial courts in Ontario, for all disputes relating to the Site, Services, or Ontario Corporation Centre Materials.
Payment Authorization and Identity Verification
Ontario Corporation Centre may require payment authorization and identity verification where the payer is not listed as a director, incorporator, owner, or partner of the business. Services will not proceed until verification is completed. Payments made by e-transfer may be exempt from this process.
Refund and Return Policy
Ontario Corporation Centre values customer satisfaction. Please review the following refund terms:
Orders placed in error must be cancelled within 30 minutes (or within 10 minutes for rush services of 1–2 hours). Otherwise, agency fees will apply.
Refunds may be reduced by applicable financial processing fees.
Once work has begun on an order, service fees and government filing fees are non-refundable.
If Ontario Corporation Centre makes a filing error, we will correct it at no additional cost.
No refunds will be issued if services are delayed or incomplete due to customer error or failure to provide required information.
Business name rejections by government agencies are not refundable; you must provide an alternate name or proceed with a numbered company.
Refunds are issued only in the original form of payment.
Cut-off Time
Orders placed after 3:00 PM local time will be processed on the next business day.
Termination of Access
Ontario Corporation Centre reserves the right to suspend or terminate access to the Site or Services at its sole discretion, with or without cause, and without notice.
Entire Agreement
These Terms constitute the entire agreement between you and Ontario Corporation Centre with respect to the Site and Services, and supersede all prior agreements.
